| Brief Description: |
This workshop was organized by RSM Nelson Wheeler, and there were three modules in this year: “China and the United States Taxation”, “Hong Kong and International Taxation”, and “Hong Kong Capital Market”.
The objectives of this workshop were to enhance audience understanding of the recent developments in Hong Kong, China, the United States and International Taxation by highlighting changes compared with the old tax regulations; the latest practices adopted by the respective tax authorities; and the recent developments in Hong Kong capital market.
This is the Day 3 of the workshop. We first mentioned some updates of corporate governance and review on pre-IPO and listed company internal control.
We then gave an overview of valuation concepts for M&A transactions - Business Enterprise Valuation and Purchase Price Allocation, an introduction of common valuation methodologies in M&A transactions - income, market and cost approaches, and a case study on valuations involved in a real M&A.
Finally, we highlighted some HKFRS updates, such as effective dates of new and revised HKFRs, new standard on consolidation, joint arrangements and associates, and annual improvements 2009-2011 cycle.
